These Terms & Conditions (“Terms”) govern your access to and participation in the TAGAI token presale (“Presale”). By connecting a wallet, submitting a purchase, or otherwise participating, you agree to these Terms.
1) Issuer and scope
Tokens will be issued by TagSpace (BVI) Ltd (“Issuer”, “we”, “us”).
These Terms apply to the Presale website/interface, related smart contracts, and any payment or wallet tooling used in connection with the Presale (collectively, the “Services”).
2) Eligibility and excluded countries/territories
You must not use the Services or participate in the Presale if you are a citizen, resident, or located in any excluded country/territory listed below, or if you act on behalf of any person in such a jurisdiction.
We may block access, refuse transactions, and/or require additional verification to comply with law, sanctions, anti-fraud measures, and risk controls.

Participation is also prohibited from any other country/territory subject to applicable sanctions or embargoes (including United Nations and European Union sanctions), and from any sanctioned person or entity.
3) Non-refundable; transaction finality
All Presale purchases are final and non-refundable, except where required by applicable law.
Blockchain transactions are irreversible once confirmed. You are solely responsible for:
using the correct wallet address,
using the correct network, and
sending the correct asset/token amount.
If you send funds incorrectly (wrong address, wrong chain, wrong token), recovery may be impossible.
4) No advice; high-risk acknowledgment
Nothing in the Services constitutes investment, legal, tax, or financial advice.
You understand and accept that:
digital assets are highly volatile and may lose all value,
markets may be illiquid or manipulated,
smart contracts, wallets, networks, and third-party services may fail, be exploited, or become unavailable, and
the token’s utility, features, roadmap, or timelines may change or be delayed.
You assume all risks associated with purchasing, holding, using, transferring, or trading tokens.
5) Token vesting and claiming
Tokens will vest according to the published vesting schedule.
Tokens will be claimed via the Sablier platform.
Claiming/withdrawing vested amounts typically requires an onchain transaction initiated by you and payment of network gas fees.
You are responsible for interacting with the correct network and wallet.
We are not responsible for third-party outages or changes that affect the Sablier interface, smart contracts, or availability.
6) Network and initial DEX launch
TAGAI is on the Base network.
TAGAI is intended to launch initially on Uniswap DEX.
There is no guarantee of any specific:
launch or listing time/date,
price, liquidity, trading volume, or market outcome.
7) Third-party services
The Services may rely on third parties (wallets, RPC providers, payment processors, Sablier, DEX interfaces, and infrastructure providers). Third parties have their own terms and availability. We are not responsible for third-party acts/omissions, outages, or losses attributable to third-party systems.
8) Suspension, refusal, and corrective actions
We may, at any time and at our discretion:
refuse participation,
cap purchases,
block access,
delay token distribution or claiming to address security, legal, or operational concerns, and/or
take steps required to comply with sanctions, court orders, or regulatory requirements.
9) Limitation of liability
To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties.
We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill arising from or related to the Presale or the Services.
10) Indemnity
You agree to indemnify and hold harmless the Issuer and its affiliates, directors, officers, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of:
your breach of these Terms,
your misuse of the Services, or
your violation of law or third-party rights.
11) Changes to these Terms
We may update these Terms from time to time. The “Last updated” date will reflect changes. Continued participation after changes constitutes acceptance.
